Welcome to Vuo, an AI-powered web monitoring service provided by Boot Ventures VOF (“Boot Ventures”, “we”, “us”, “our”). These Terms of Service (“Terms”) govern your access to and use of the Vuo website, applications, and services (collectively, the “Service”). By accessing or using Vuo, you agree to these Terms. If you do not agree, you may not use the Service.

1. Eligibility and Accounts

• Age Requirement: You must meet the minimum legal age required to create an account. For users in the European Economic Area (EEA) the minimum age is 16 years old (or a lower age where local law permits). For users outside the EEA the minimum age is 18 years old. By registering an account you represent that you meet the applicable age requirement and have the legal capacity to enter into these Terms.
• Registration: Certain features of Vuo (such as subscribing to alerts or creating new alerts) require an account. You agree to keep your account credentials secure and to notify us immediately of any unauthorized use. We may verify information you provide or refuse service if registration information is false.
• Teams and Organizations: Vuo supports organizational accounts. If you create or join a team account, you are responsible for any actions taken by members of your team on that account. You warrant that any person you allow to access your team account is authorized by you to do so.
• Public Access: Some Vuo content (e.g., publicly posted alerts) may be viewable without registration. However, to create alerts or receive notifications, registration is required.

2. Service Description

Vuo is an AI-native monitoring tool that periodically checks websites, news sources, APIs, and other data feeds for changes or updates. It stores only the tracked changes (not entire copies of monitored pages) and can generate AI-powered summaries or analyses of detected changes. Updates are polled periodically (from daily to near real-time). Vuo performs monitoring on a best-effort basis and does not guarantee that every change, update, or data point will be detected. You acknowledge that the Service may occasionally miss changes, produce incomplete information, or provide delayed alerts. You agree not to rely solely on the Service for critical decisions. The Service is provided on an “as-is” basis. You understand that AI-generated summaries may contain errors, and you should verify critical information independently.

Disclaimer (AI/Accuracy): THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. Vuo and Boot Ventures make no guarantee that the Service will be error-free, secure, continuous, or fit for a particular purpose. AI-generated summaries, analyses, and alerts are provided for informational purposes only and are not professional, legal, financial, or operational advice. You must independently verify all critical information before acting on it. Boot Ventures is not responsible for any decisions or actions you take based on Vuo alerts or analyses.

Third-Party Dependencies: The Service may rely on third-party AI providers (such as OpenAI) and infrastructure (such as cloud hosting providers). We are not responsible for the availability, reliability, or security of any third-party services. Service interruptions or delays due to external providers are beyond our control.

3. Subscription Plans and Payments

Vuo offers subscription plans (monthly or annual billing, auto-renewing unless cancelled), as described on our Pricing page.

We also offer credit packs (one-time top-ups). Credits can be used with any plan to increase usage limits. All prices are in U.S. Dollars. Payment is processed via Stripe. By subscribing, you authorize us to charge your chosen payment method.

• Auto-Renewal & Cancellation: Subscriptions renew automatically at the then-current price until cancelled. You are responsible for cancelling before the renewal date if you do not wish to continue. Changes to pricing or plan features will be posted on our Site, and continued use constitutes acceptance of those changes. We may offer promotional rates at our discretion.
• Late or Failed Payments: If we cannot process a payment, you agree to pay any due amounts on demand. We reserve the right to suspend or terminate your access if fees are unpaid.
• No Refunds: All payments are final. Monthly subscription fees, credit purchases, and add-ons are non-refundable. In case of annual subscriptions, unused remaining months may be refunded on a pro-rata basis at our discretion (not automatically). You must contact us for any annual-plan refund. If you cancel, you retain access for the remainder of the paid term but will not receive a refund for unused time.

4. Acceptable Use

You agree to use the Service only in accordance with these Terms and all applicable laws. Prohibited uses include, without limitation:

• Scraping or monitoring content that you do not have permission to access. You must only use Vuo to monitor publicly available content or content you own/control.
• Using the Service for any illegal, defamatory, obscene, threatening, or infringing purpose. Do not use Vuo to engage in spam, phishing, cyberattacks, or other malicious activities.
• Monitoring personal data or protected content in violation of privacy laws or the content owner’s terms of service.
• Attempting to overload, hack, or disrupt the Service or its infrastructure (e.g., by submitting excessive queries beyond your plan limits).
• Bypassing any access restrictions on monitored websites (e.g., ignoring robots.txt or login requirements).
• Impersonating any person or entity or misrepresenting your affiliation with any person or entity.
• Uploading or transmitting viruses, malware, or harmful code through the Service.

We reserve the right to suspend or terminate accounts that violate these rules. You are responsible for your conduct and any data you upload or submit for monitoring. Boot Ventures disclaims any liability for improper use of the Service.

5. User Content and Data

“User Content” means any data, URLs, prompts, notes, monitoring configurations, or other information you upload or submit to the Service.

You retain ownership of your User Content.

By submitting User Content, you grant Boot Ventures a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, transmit, and display that User Content only to the extent necessary to operate, maintain, and improve the Service. This license allows us to provide monitoring, alerts, AI-generated summaries, and other functionality.

This license may be sublicensed only to service providers that perform services on our behalf (for example infrastructure providers, payment processors, or AI providers).

We may use aggregated or anonymized data derived from User Content to improve the Service and its underlying systems.

You represent that you have all rights necessary to submit the User Content and that doing so does not violate any law or third-party rights.

Boot Ventures may remove or refuse User Content that violates these Terms.

6. Feedback

Any suggestions, feedback, or ideas you provide (“Feedback”) are non-confidential. By submitting Feedback, you grant Boot Ventures an irrevocable, worldwide, royalty-free license to use and incorporate it into the Service without obligation to you.

7. Proprietary Rights

All rights, title, and interest in the Service (including the software, code, algorithms, content, UI/UX, and brand) are owned by Boot Ventures or its licensors. The Vuo name, logo, and related trademarks are our property. You may not use these except as authorized under these Terms.

We grant you a limited, non-exclusive, revocable license to access and use the Service for its intended purposes. Except for the rights expressly granted, you have no right to the software or documentation except as provided here.

8. Modifications to Service and Terms

We may change or discontinue any feature of the Service at any time without notice. New features or tools may be added, and existing ones modified or removed. This includes adding limits on features or storage.

We may also revise these Terms from time to time. We will post the updated Terms on the Vuo site with a new “Last updated” date. It is your responsibility to review the Terms periodically. Your continued use after changes means you accept the new Terms.

9. Termination

You may cancel your account at any time through your account settings or by contacting support. Upon cancellation, your access will continue until the end of the paid period (no refunds are given for partial periods).

Boot Ventures may suspend or terminate your account immediately if you breach these Terms or for any other reason, at our sole discretion. If terminated, you will not be entitled to a refund of fees, and any paid-but-unused credits or subscription time will be forfeited. We may delete your User Content from our servers upon termination.

10. Indemnification

You agree to defend, indemnify, and hold harmless Boot Ventures and its affiliates, officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your conduct, or any content you submit. This includes claims related to your violation of law or these Terms, and any allegation that your User Content infringes third-party rights.

11. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND. Boot Ventures and our licensors disclaim all representations and warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, security, accuracy, and non-infringement. We do not warrant that Vuo will meet your requirements, operate without interruption, or be error-free. Your use of the Service is at your sole risk.

We specifically disclaim liability for any damages or losses resulting from your use of Vuo, including but not limited to indirect, incidental, or consequential damages. Use of the Service for mission-critical or high-risk activities is at your own risk.

The Service is not designed for mission-critical or high-risk operations. You are solely responsible for decisions and actions based on Service outputs. Boot Ventures disclaims any liability for losses resulting from reliance on the Service in contexts where failure could cause injury, financial loss, or operational harm.

12. Limitation of Liability

Except where prohibited by law, Boot Ventures’ total aggregate liability arising out of or related to these Terms or your use of the Service (whether in contract, tort, or otherwise) will not exceed the amount of subscription fees actually paid by you to Boot Ventures during the 12 months preceding the event giving rise to the claim. In no event will Boot Ventures be liable for any incidental, indirect, special, punitive, or consequential damages (including lost profits or data loss), even if advised of the possibility of such damages. These limitations apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow exclusion or limitation of liability, so this section may not apply fully to you.

Nothing in these Terms excludes or limits liability for death or personal injury resulting from negligence, fraud, willful misconduct, or any liability that cannot be excluded or limited under applicable law. Mandatory rights under consumer protection or data protection laws remain unaffected by these limitations.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Belgium.

Any dispute arising out of or relating to these Terms or the Service will be submitted to the competent courts of Brussels, Belgium.

If you are a consumer residing in the European Union, you may also benefit from mandatory consumer protection provisions of the law of your country of residence, and those rights are not affected by this choice of law or jurisdiction.

14. Export and Sanctions Compliance

You represent and warrant that neither you nor your use of the Service violates any applicable export laws or regulations. You may not use or export the Service to embargoed or sanctioned countries or where prohibited by law.

15. Miscellaneous

• Entire Agreement: These Terms and any policies or documents referenced herein constitute the entire agreement between you and Boot Ventures regarding Vuo, superseding any prior agreements.
• Severability: If any provision of these Terms is found invalid, the remaining provisions will remain in effect.
• Waiver: Boot Ventures’ failure to enforce any right does not constitute a waiver of that right.
